Acceptance

By using kavarn.com you accept these terms. If you do not accept them, do not use the site.

These terms cover the website only. If you become a customer, your use of the Kavarn service is governed by the customer agreement between your organization and Konvergence Inc, and where the two conflict in respect of the service, the customer agreement prevails.

Changes to these terms

We may revise these terms. The date at the top shows when they last changed. Continuing to use the site after a change means you accept the revised version. We will not apply a change retroactively to a dispute that has already arisen.

No legal advice, and no attorney-client relationship

This site publishes reference material about eDiscovery: a glossary, guides, a fee field guide, a cost calculator, a volume translator and a format risk planner. All of it is general information about how eDiscovery works and what it costs.

None of it is legal advice, and none of it is tailored to your matter. Reading it, using the tools or contacting us does not create an attorney-client relationship with Konvergence Inc or with anyone else. Konvergence Inc is not a law firm and does not practice law.

Anything the tools on this site produce, including any estimate, plan or comparison, is a starting point for a conversation with your own counsel. It has not been reviewed against your jurisdiction, your court, your judge's standing orders, your case or your facts. Do not rely on it in a filing or a negotiation without a lawyer reviewing it first.

Where we quote a rule, an opinion or a published study, we cite the source so you can read it yourself. Rules are amended, opinions are distinguished and market rates move. Material here was accurate when it was published or last updated, and we do not undertake to keep it current.

Published prices

The prices on this site are our current published rates. They are not an offer that can be accepted by using the site or by contacting us. An engagement begins only when your organization and Konvergence Inc sign a customer agreement, and that agreement sets the price for its term. One figure is quoted rather than published, ingestion above 1 TB at onboarding, and a quote is not binding until it is part of a signed agreement.

We may change published prices at any time. A change does not affect an agreement already signed.

Reliance on what we publish

We take care over the numbers on this site and we cite their sources. Market figures and calculator results are observations and illustrative calculations, not quotes, not valuations, and not a promise of what anything will cost you. Your costs depend on your data, your matter and your vendor. Nothing here is a warranty of any outcome, price or saving.

Permitted use

You may read, print, download and share material from this site for your own professional purposes, and quote from it with attribution and a link.

Prohibited uses

You may not do any of the following.

• Republish substantial parts of the site as your own.
• Remove or obscure any attribution, citation or notice.
• Attempt to gain unauthorized access to the site, its infrastructure or any connected system, or probe or test its security without our written permission.
• Interfere with the operation of the site, introduce malicious code, or impose an unreasonable load on it.
• Use the site to transmit anything unlawful, defamatory, infringing or harmful, or to send unsolicited commercial messages to us or anyone else.
• Use the site to impersonate anyone, or misrepresent your affiliation with any person or organization.
• Use the site in breach of any applicable law or export control.

We may investigate a suspected breach, take whatever technical measures we think appropriate, block access, and report conduct to law enforcement where it warrants it, without notice.

What you send us

If you send us feedback, a suggestion or an idea about the site or the service, we may use it without obligation to you and without compensation. Please do not send us anything confidential through this site.

Do not send us case material, client confidences or privileged documents through the contact form or by email. If you do, we may delete it without reading it, and we will not have accepted any duty in respect of it.

Intellectual property

The content, structure, design and code of this site belong to Konvergence Inc or its licensors and are protected by copyright and other laws. Your use of the site gives you no ownership of any of it.

Kavarn, the Kavarn logo and Konvergence are our marks. You may refer to them accurately in ordinary descriptive use. You may not use them as your own, in a way that suggests endorsement, or in any name, logo or domain of your own.

Third-party names, rules, opinions and studies quoted or cited on the site belong to their owners and are used for identification and reference.

Copyright complaints

If you believe something on this site infringes your copyright, tell us, with enough detail to identify the work and the material you object to, and a way to contact you. We will look at it and remove anything that should not be there.

Links

We link to external sources so you can verify what we say. We do not control those sites, we do not endorse them, and we are not responsible for their content, their accuracy or their privacy practices.

You may link to any page on the site in a fair way that does not suggest an association, endorsement or approval we have not given. You may not frame the site, or present our content as though it were yours.

Availability

We may change, suspend or withdraw any part of the site at any time, and we do not guarantee that it will always be available. We are not liable if the site is unavailable for any period.

Geographic scope

This site is operated from the United States. We make no representation that its content is appropriate or available in other locations. If you access it from elsewhere, you do so on your own initiative and are responsible for complying with your local law.

Your information

What we collect through this site and what we do with it is set out in our Privacy Policy, which forms part of these terms.

Disclaimer of warranties

The site and everything on it is provided as is and as available, without warranty of any kind, whether express, implied or statutory. We specifically disclaim any implied warranty of merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that the site will be uninterrupted, secure, error free or free of harmful components, or that anything on it is accurate, complete or current.

Some jurisdictions do not allow the exclusion of implied warranties, so some of this may not apply to you.

Limitation of liability

To the fullest extent permitted by law, Konvergence Inc, its officers, employees and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill or business interruption, arising out of or connected with your use of this site, on any theory of liability, even if we have been advised that such damages are possible.

To the fullest extent permitted by law, our total liability arising out of or connected with your use of this site will not exceed $100.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud.

Indemnification

You agree to indemnify Konvergence Inc and its officers, employees and agents against any claim, liability, loss and reasonable legal cost arising out of your breach of these terms, your misuse of the site, or your violation of any law or third-party right in connection with the site.

We will tell you promptly about any claim we want indemnified, let you control the defense with counsel of your choice provided any settlement releases us fully and admits nothing on our behalf, and cooperate with you at your cost.

Time limit on claims

Any claim arising out of or connected with your use of this site must be brought within one year after it arises. After that it is permanently barred.

Governing law and jurisdiction

These terms and any dispute arising from them are governed by the laws of the State of Texas, without regard to conflict of laws principles. Any dispute will be brought exclusively in the state or federal courts located in Hays County, Texas, and you consent to their jurisdiction.

Waiver and severability

If we do not enforce a provision of these terms, that is not a waiver of it. If any provision is held unenforceable, it is severed and the rest continues in full force.

Entire agreement

These terms, together with the Privacy Policy, are the entire agreement between you and Konvergence Inc in respect of the website, and supersede anything said or written about it previously. This does not limit any separate customer agreement.
